Account Access & Responsibilities
You are responsible for:
Maintaining the confidentiality of account credentials
All activity occurring under your account
Ensuring the accuracy of information provided
Complying with applicable laws, regulations, and carrier rules
TPS may suspend or terminate access for violations of these Terms or misuse of the Services.
Acceptable Use
You agree not to use the Services to:
Send spam or unsolicited messages
Use purchased, scraped, or non-consensual contact lists
Transmit unlawful, misleading, or harmful content
Violate carrier policies, A2P/10DLC requirements, or platform rules
Infringe on the rights of others
TPS reserves the right to restrict or disable messaging or automation that violates acceptable use standards.
Messaging & A2P/10DLC Compliance
TPS provides two-way SMS and messaging capabilities subject to carrier requirements.
You agree that:
You will only message individuals who have provided valid consent
You will honor opt-out requests immediately (STOP)
Message frequency will be reasonable and related to business activity
You will not send prohibited or deceptive content
TPS is not responsible for delivery failures, carrier filtering, or account suspension caused by non-compliant messaging practices.
Advertising & Performance Disclaimer
TPS does not guarantee specific results, revenue, lead volume, conversion rates, or business outcomes.
Advertising performance and automation results may vary based on:
Market conditions
Budget
Sales processes
Client responsiveness
Third-party platform policies
All examples, estimates, or projections are informational only.
Performance-Based Pricing
If performance-based pricing is agreed upon, billing is based on predefined criteria (such as qualified leads, booked appointments, or closed outcomes) as outlined in your service agreement.
TPS relies on CRM data and automation logs for tracking and billing. Disputes must be raised within a reasonable timeframe as specified in your agreement.
Data & Privacy
Use of the Services is subject to our Privacy Policy. By using our Services, you consent to the collection, use, and processing of information as described therein.
Clients retain ownership of their data. TPS acts as a service provider when processing data on behalf of clients.
Third-Party Services
The Services may integrate with third-party platforms (e.g., CRM systems, SMS providers, advertising platforms). TPS is not responsible for outages, changes, or actions taken by third-party services.
Suspension & Termination
TPS may suspend or terminate access to the Services if:
These Terms are violated
Messaging or advertising rules are breached
Payment obligations are not met
Use of the Services presents a legal or compliance risk
Limitation of Liability
To the fullest extent permitted by law, TPS shall not be liable for indirect, incidental, special, or consequential damages arising from use of the Services.
Indemnification
You agree to indemnify and hold harmless TPS from claims, damages, or liabilities arising from your misuse of the Services, violation of these Terms, or failure to obtain proper consent.
Modifications
TPS may update these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.
